Integrity and Compliance
- Comply with all relevant laws and regulations, including the Company Act, Securities and Exchange Act, Political Donations Act, and Government Procurement Act, to ensure that all business activities are lawful and compliant.
- Directors, managers, and employees must not, directly or indirectly, offer, promise, solicit, or accept any improper benefits.
Fairness and Transparency
- Conduct all business activities in a fair, impartial, and transparent manner.
- Include explicit integrity clauses in contracts with agents, suppliers, and partners. If any party engages in dishonest conduct, the company may immediately terminate the collaboration.
Prevention and Management
- Establish risk assessment and internal control mechanisms.
- Designate responsible units to promote integrity policies, training programs, and whistleblowing mechanisms to ensure effective implementation.
- Establish conflict-of-interest management procedures requiring directors and managers to proactively disclose and recuse themselves from relevant matters.
Responsibility and Protection
- Strictly prohibit bribery, illegal political contributions, improper donations or sponsorships, infringement of intellectual property rights, and unfair competition.
- Ensure transparency of product and service information, prioritizing the rights, health, and safety of customers and stakeholders.
- Provide protection and incentives for whistleblowers to ensure timely identification and handling of violations.
Continuous Improvement
- Regularly conduct integrity-related training and awareness programs, embedding ethical values into corporate governance, risk management, and employee performance.
- Continuously monitor domestic and international regulatory developments and best practices to review and enhance policies and measures.
- Regularly disclose the company’s integrity management implementation and results to demonstrate transparency and accountability to the public.
