針對本公司高階主管配合司法調查乙事，本公司謹聲明如下：

一、配合司法調查與最新進展
本公司董事長謝源一、總經理周仕昌及執行副總李永清經法院裁定羈押，財務長廖彥凱則獲無保請回。確切原因尚在進一步釐清中，本公司尊重司法程序，並將全力配合相關單位調查。

二、營運財務正常與應變機制
本公司具備完整制度與內部控制制度。為確保公司營運不受影響，本公司已啟動職務代理機制，由董事鄭涵代行董事長相關職權、業務處資深協理吳俊儀代行總經理職權，其餘職位依照職務授權及核決權限辦法行使相關職權。目前公司各項業務、財務及工程專案均運作正常。

三、維護股東與夥伴權益
本公司恪遵法令規範與公司治理原則，後續將持續關注案件進展，並依規定於公開資訊觀測站及時發布重大訊息，以維護公司、股東及合作夥伴之權益。

Regarding the judicial investigation involving the Company’s senior executives, HD Renewable Energy Co., Ltd. hereby issues the following statement:

1. Cooperation with the Judicial Investigation and Latest Developments
The Company’s Chairman, Mr. Yuan-Yi Hsieh, General Manager, Mr. Shih-Chang Chou, and Executive Vice President, Mr. Yong-Ching Lee, have been ordered detained by the court, while Chief Financial Officer, Mr. Yen-Kai Liao, was released without bail. The exact circumstances are still being clarified. The Company respects the judicial process and will fully cooperate with the relevant authorities in their investigation.

2. Normal Business Operations and Contingency Measures
The Company has an established management structure and internal control system. To ensure uninterrupted operations, the Company has implemented interim management arrangements. Board Director Ms. Han Cheng has assumed the duties of Chairman, while Senior Director of Business Division Mr. Chun-Yi Wu has assumed the duties of General Manager. Responsibilities for other positions are carried out in accordance with the Company’s delegation of authority and approval procedures. All business activities, financial operations, and engineering projects continue to operate normally.

3. Protecting the Interests of Shareholders and Partners
The Company remains committed to compliance with applicable laws and regulations and sound corporate governance practices. The Company will continue to monitor developments in the case and promptly disclose material information through the Market Observation Post System (MOPS) in accordance with applicable regulations to protect the interests of the Company, its shareholders, and business partners.
